1.1. Welcome to the official e-commerce website and online portal of Cool Pack cc. We are a dedicated quality packaging and cleaning products supplier.

1.2. The business was established in 1996 by the founder and current owner, Martin Dedekind, who initially started to sell packaging material as a side-line. Over the years, Cool Pack has grown from humble beginnings into a stable company. Our aim is to meet the customers’ needs by supplying quality at affordable pricing as soon as possible.

1.3. Cool Pack is a proud member of IPSA, the Institute of Packaging in South Africa. The owner finished his diploma with the Institute of Packaging South Africa (IPSA) in 2003 and has been a proud member ever since.

1.4. These Terms and Conditions govern your use of this website, which is powered by Shopify, as well as your purchasing relationship with Cool Pack cc. By accessing our website, registering an account, or placing an order, you agree to be bound by these Terms and Conditions in their entirety.

2. Definitions and Interpretation

2.1. In these Terms and Conditions, unless the context dictates otherwise, the following terms shall have the meanings assigned to them:

“Company”, “we”, “us”, or “our” refers to Cool Pack cc.
“Customer”, “you”, or “your” refers to any individual, representative, or corporate entity browsing this website or purchasing goods from us.
“CPA” refers to the South African Consumer Protection Act, No. 68 of 2008.
“ECTA” refers to the Electronic Communications and Transactions Act, No. 25 of 2002.
“POPIA” refers to the Protection of Personal Information Act, No. 4 of 2013.
“Goods” or “Products” refers to the extensive catalogue of items available for sale, as we stock at least 600 different items.

2.2. Any use of the singular includes the plural and vice versa, and any reference to one gender includes the other genders.

3. Application of Statutory Consumer Rights

3.1. Electronic Communications and Transactions Act (ECTA): If you are a natural person purchasing goods for personal use via our online portal, you are afforded certain rights under Section 44 of ECTA. This includes a 7-day cooling-off period allowing you to cancel your electronic transaction without reason or penalty, subject to the return of the goods in their original, unopened condition at your own expense.

3.2. Consumer Protection Act (CPA): Where the CPA applies to the transaction, these Terms and Conditions shall be interpreted in a manner that complies with the CPA. Nothing in these Terms is intended to unlawfully restrict, limit, or avoid any rights or obligations created for either you or the Company under the CPA. All goods sold carry a statutory implied warranty of quality for six (6) months from the date of delivery, protecting against material defects.

3.3. Exemptions: Please note that certain provisions of the CPA and ECTA do not apply to juristic persons (corporate entities) whose asset value or annual turnover exceeds the threshold determined by the Minister of Trade and Industry from time to time. Wholesale purchases and bespoke manufacturing orders are governed primarily by standard South African common law regarding contracts.

4. Use of the Website

4.1. This website is powered by Shopify. You may only use this website to browse the content, make legitimate purchases, and shall not use this website for any other purposes, including without limitation, to make any speculative, false, or fraudulent purchases.

4.2. Account Registration: To make purchases, you may be required to register an account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

4.3. Accuracy of Information: We make every effort to ensure that the information on our website is complete, accurate, and current. However, despite our best efforts, there may occasionally be errors regarding pricing, product descriptions, or availability. We reserve the right to correct any errors and to change or update information at any time without prior notice. Choosing a selection results in a full page refresh.

5. Product Descriptions and Catalogue

5.1. Over the years Cool Pack has linked with “the best in their class” manufacturers and stock at least 600 different items. Our comprehensive catalogue spans multiple distinct categories:

Agricultural: We supply items such as 25kg Woven Poly Prop White bags, 50kg Woven Poly Prop White bags, and Netlon.
Bag Closing Range: Plastic bags are sealed with a range of stitching machines and yarn. We supply the Sew-Rite Express Stitching Machine and Jumbo White Yarn 48kg.
Cardboard Boxes: Go green and use recyclable cardboard boxes. We stock Cake Boxes and Corrugated Pizza Boxes.
Charcoal Products: We supply Charcoal, Briquettes, Firelighters and Braai Wood.
Cleaning Chemicals: Everyone likes a clean and hygienic living environment. We supply All-Rite Heavy Duty Industrial Cleaner, Bleach, and Degreasers.
Egg Packaging: We cater to farmers with products ranging from Taxipacks for Large Orange eggs to 30 Dozen Egg Outerboxes.
Fastfood Packaging: The Fast food industry is growing every year. We supply Brown Paper Bags, Clear Cups, Disposable Cutlery, and Domes.
Industrial Products: The industrial sector is huge. We stock brooms, mops, staples, and Industrial wire ties 175mm.
Ingco: Ingco South Africa offers a comprehensive range of efficient power tools. This includes Air Compressors, Demolition Breakers, and Electric Impact Drills.
Plastic Bags: We supply Carrier Jumbo Tuff One bags, Adams Clear Butcher Bags, and Ice Bags.
Plastic & Glass Bottles: Bottles are used by everyone daily. We stock PET bottles ranging from 250ml to 10L.
Plastic Wrapping: The best way to prevent damage is using products like Bubble Wrap and Stretch Cast.
PPE & Safety Wear: Personal protective equipment or PPE is vital in a safe working environment. We stock Dust Masks, Gloves, and PVC Aprons.
Scales: Industrial type scales and weighing equipment. We supply Micro Check Weighers and 150kg Platform Scales.
Styrofoam: Our styrofoam food containers are a form of disposable packaging.
Toilet Paper Range: The basics in life are essential. We supply Twinsaver and Kitten Soft products, along with Kim Wipe garage rolls.

5.2. We reserve the right to discontinue any product at any time. All descriptions of products or product pricing are subject to change at any time without notice, at our sole discretion.

6. Pricing and Payment Terms

6.1. All prices displayed on the website are quoted in South African Rands (ZAR). Where applicable, prices are inclusive of Value Added Tax (VAT) at the prevailing statutory rate, unless explicitly stated otherwise for wholesale accounts.

6.2. Despite our best efforts, a small number of the 600 items in our catalogue may be mispriced. If an item’s correct price is higher than our stated price, we will, at our discretion, either contact you for instructions before shipping or cancel your order and notify you of such cancellation.

6.3. Payment Methods: We accept various secure payment methods which will be displayed during the Shopify checkout process. Goods will only be dispatched for delivery or released for collection once Cool Pack cc has received full and final clearance of the payment into our bank account.

7. Delivery, Shipping, and Collections

7.1. We deliver NATIONWIDE!

7.2. Internal Fleet Delivery: We service the Northern Natal and southern Mpumalanga area with 9 delivery vehicles. For locations on our established routes, we may use our own fleet.

7.3. Courier Services: We deliver via courier to further destinations.

7.4. Free Delivery Schedule: We proudly offer FREE DELIVERY TO SPECIFIC LOCATIONS ON CERTAIN DAYS! Customers are advised to contact our office to verify the specific delivery days for their geographic location.

7.5. Bulk Items Policy: Due to logistical constraints, BULK ITEMS can’t be shipped via Courier. If you require bulk items (such as large quantities of Styrofoam, Cardboard Boxes, or Woven Poly Prop Bags), please contact us for a delivery quote on BULK ITEMS.

7.6. Free Delivery on Bulk: Importantly, FREE DELIVERY TO SPECIFIC LOCATIONS ON CERTAIN DAYS is available on all items including BULK ITEMS. If your location falls on our scheduled route, you can receive bulk items without additional freight charges.

7.7. Delivery Times: While we strive to meet our customers’ needs by supplying quality at affordable pricing as soon as possible, all delivery timeframes provided are estimates. We shall not be held liable for any direct or indirect losses incurred due to delayed deliveries caused by courier delays, vehicle breakdowns, or force majeure.

7.8. Receiving Goods: It is the Customer’s responsibility to ensure that a competent person is available at the specified delivery address to receive and sign for the goods. Any visible damage to outer packaging must be noted on the waybill before signing.

8. Risk and Ownership

8.1. Risk in and to the goods shall pass to the Customer upon physical delivery of the goods to the Customer’s nominated address, or upon collection of the goods by the Customer or their appointed agent from our physical address at Jachtdrif Farm, Paulpietersburg, KwaZulu-Natal.

8.2. Notwithstanding the passing of risk, ownership (title) of the goods shall remain vested in Cool Pack cc until the full purchase price, including any applicable taxes and delivery fees, has been paid in full and cleared in our bank account.

9. Trading Hours

9.1. Our administrative offices, physical retail shop, and customer support operate strictly within the following Trading Hours:

Monday to Friday: 07h30 to 16h30
Saturday: 07h30 to 11h30
Sundays & Public Holidays: Closed

9.2. Orders placed online outside of these trading hours, or on Sundays and Public Holidays, will only be processed on the next available business day.

10. Returns, Refunds, and Warranties

10.1. All returns, refunds, and exchanges are governed by our separate, detailed Return and Refunds Policy, which forms an integral part of these Terms and Conditions.

10.2. Statutory Warranty: We adhere to the 6-month implied warranty of quality under the CPA. Goods that are materially defective within this period may be returned for assessment, repair, replacement, or refund.

10.3. Specific Category Conditions:

Ingco Tools: Ingco South Africa offers a comprehensive range of efficient power tools. Warranties on these industrial tools are strictly subject to assessment to rule out user abuse, incorrect application, or lack of maintenance.
Hygiene and Food Safety: Products such as Fastfood Packaging, PPE & Safety Wear, and Styrofoam cannot be returned if original sterile or protective packaging has been opened, due to strict health and safety protocols.

10.4. Returns Shipping: Customers returning goods under the ECTA 7-day cooling-off period are liable for all return shipping costs. Please remember that BULK ITEMS can’t be shipped via Courier, meaning returns of bulk items will require specialised freight at the Customer’s expense.

11. Limitation of Liability and Indemnity

11.1. To the fullest extent permitted by South African law, Cool Pack cc, its directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, or consequential damages (including but not limited to loss of profits, loss of crops, business interruption, or loss of data) arising from the use of, or the inability to use, this website or the products supplied.

11.2. Product Application: The Customer accepts sole responsibility for ensuring that the products purchased, such as Cleaning Chemicals or Agricultural products, are fit for their intended specific purpose. We accept no liability for damages resulting from the incorrect application or misuse of our products.

11.3. You agree to indemnify, defend, and hold harmless Cool Pack cc from any claims, liabilities, damages, and expenses arising from your unlawful use of the website or your breach of these Terms and Conditions.

12. Intellectual Property Rights

12.1. The contents of this website, including all text, graphics, logos, images, audio clips, digital downloads, and data compilations, are the property of Cool Pack cc or its content suppliers and are protected by South African and international copyright and trademark laws.

12.2. “Cool Pack cc” and associated branding are our intellectual property. The “Ingco” brand and associated product imagery are the property of Ingco South Africa. You may not use, reproduce, or distribute any content from this site without our express prior written permission.

13. Privacy and Data Protection

13.1. We are committed to protecting your privacy in accordance with the Protection of Personal Information Act (POPIA).

13.2. By using this website and providing your personal data, you consent to the collection, processing, and sharing of your information as detailed in our comprehensive Privacy Policy. We collect data primarily to process your orders, arrange delivery via our 9 delivery vehicles or national couriers, and manage your account.

14. Force Majeure

14.1. The Company shall not be held in breach of these Terms and Conditions, nor liable for any delay or failure in performance, if such delay or failure is caused by events beyond our reasonable control (Force Majeure).

14.2. Such events include, but are not limited to, acts of God, natural disasters, strikes, lock-outs, national strikes impacting courier routes, load-shedding or severe power grid failures, telecommunications failures, pandemics, or governmental actions. In the event of Force Majeure, our obligations will be suspended for the duration of the event.

15. Breach of Contract

15.1. Should either party breach any provision of these Terms and Conditions and fail to remedy such breach within fourteen (14) days of receiving written notice to do so, the aggrieved party shall be entitled, without prejudice to any other rights they may have in law, to cancel the agreement or claim specific performance, in either event together with a claim for damages.

16. Governing Law and Jurisdiction

16.1. These Terms and Conditions, and any disputes arising from or relating to the purchasing of goods from Cool Pack cc, shall be governed by and construed strictly in accordance with the laws of the Republic of South Africa.

16.2. You hereby consent to the exclusive jurisdiction of the South African courts in respect of any legal proceedings arising out of or in connection with these Terms and Conditions.

17. Severability

17.1. If any provision of these Terms and Conditions is determined to be unlawful, void, or for any reason unenforceable by a competent South African court, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.

18.1. We reserve the right to update, change, or replace any part of these Terms and Conditions at any time by posting updates and/or changes to our website.
